1. Terms of Use

These Terms of Use ("Terms") govern your access to and use of the products and services provided by Helmi Technologies, Inc. ("Helmi", "we", "us", or "our"), a Delaware corporation, through app.helmi.com (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

When you use our Service, now or in the future, you are agreeing to the latest Terms. There may be times where we do not exercise or enforce a right or provision of these Terms; however, that does not mean we are waiving that right or provision. These Terms do contain a limitation of liability in Section 12.

2. Description of Service

Helmi is a software-as-a-service platform that provides tools for companies and investor groups to manage fundraising outreach, investor engagement, portfolio tracking, document sharing, meeting recordings, and investor communications.

Helmi Technologies, Inc. is not a registered broker-dealer, investment advisor, investment manager, or registered funding portal. Neither the Securities and Exchange Commission nor any state regulator has given its approval to the securities, the terms of the offerings, or the accuracy or completeness of any offering materials. Helmi does not give investment advice, and no content on the platform should be construed as financial, legal, or tax advice.

3. Account Terms

To use the Service, you must be at least 16 years old and a human. Accounts registered by bots or automated methods are not permitted.

You must provide accurate and complete information when creating an account, including your name and email address. You may also register using third-party authentication providers (Google, LinkedIn, or Microsoft).

You are responsible for maintaining the security of your account and password. Helmi will not be liable for any loss or damage from your failure to comply with this security obligation. You are responsible for all content posted and activity that occurs under your account, including by other users who have access to your account. You must immediately notify Helmi if you become aware of any unauthorized use of your account.

4. Organizations

Users may create or join organizations (companies or investor groups) within the platform. When you create an organization, you are responsible for the accuracy of the information provided. When you join an existing organization, your access is subject to approval by that organization's administrators. You are responsible for all activity that occurs within organizations you manage.

5. User Content

You retain ownership of all content you upload to the Service, including documents, meeting recordings, contacts, investor updates, notes, and portfolio data ("User Content"). We do not claim any ownership over your User Content. By uploading User Content, you grant Helmi a limited, non-exclusive license to copy, display, modify, and use your content only as needed to provide, maintain, and improve the Service. This license ends when you delete your User Content or your account.

You represent and warrant that you have all necessary rights to submit User Content to the Service and to allow its use as described in these Terms. You are responsible for the accuracy and content of your User Content.

6. Feedback and Usage Data

You may, but are not required to, provide us with suggestions, feedback, or comments about the Service ("Feedback"). If you provide Feedback, you grant Helmi a perpetual, irrevocable, non-exclusive license to use that Feedback freely without any restriction or obligation.

We may collect and analyze data about the provision, use, and performance of the Service based on your use ("Usage Data"). We may use Usage Data to maintain, improve, and enhance our products and services. We will only disclose Usage Data to others in aggregated form that does not identify you or your users.

7. AI-Powered Features

The Service uses artificial intelligence and machine learning to provide features such as meeting transcription, document text extraction, content summarization, content generation, and semantic search. Usage Data and User Content may be used to develop, train, or enhance artificial intelligence or machine learning models that are part of the Service, including third-party components. However, User Content will be aggregated and we will use commercially reasonable efforts consistent with industry-standard technology to de-identify User Content before such use.

Nothing in this section reduces or limits our obligations regarding personal data under applicable data protection laws. Due to the nature of artificial intelligence and machine learning, information generated by these features may be incorrect or inaccurate. AI-powered features are not a substitute for human oversight. You are responsible for reviewing and verifying any AI-generated output before relying on it for business decisions.

8. Restrictions and Acceptable Use

You agree not to, and will not allow anyone else to:

Reverse engineer, decompile, or attempt to discover any source code or underlying algorithms of the Service (except to the extent applicable laws prohibit this restriction)
Provide, sell, transfer, sublicense, or otherwise allow others to access or use your account
Remove any proprietary notices or labels from the Service
Conduct security or vulnerability tests on, interfere with the operation of, or cause performance degradation of the Service
Access accounts, information, data, or portions of the Service to which you do not have explicit authorization
Use the Service to develop a competing product or service
Use the Service for any purpose prohibited by applicable laws
Use the Service to distribute unsolicited communications or spam through investor update features
Upload or submit User Content to which you do not have the proper rights

9. Third-Party Integrations

The Service allows you to connect third-party accounts (such as Google, Microsoft, or LinkedIn) for email, calendar, and contact synchronization. By connecting these accounts, you authorize Helmi to access and process the data from those services as necessary to provide the features you use. Your use of third-party services remains subject to those services' own terms and policies. Helmi does not warrant or support any third-party services and is not liable for any damage or loss caused by your use of or reliance on them.

10. Document Sharing

The Service allows you to create shareable links to documents. You are responsible for managing access to your shared content and for ensuring that any documents you share comply with applicable laws and do not contain confidential information you are not authorized to distribute. Helmi collects analytics on shared links (such as viewer activity and engagement) and makes this data available to you.

11. Intellectual Property

Except for the limited rights granted to you in these Terms, Helmi retains all right, title, and interest in and to the Service, including its design, features, documentation, and underlying technology. Except for the limited rights described in Sections 5, 6, and 7, you retain all right, title, and interest in and to your User Content. Nothing in these Terms grants you any right to use the Helmi name, logos, or trademarks without our prior written consent.

12. Disclaimer of Warranties

Helmi makes no guarantees that the Service will always be safe, secure, or error-free, or that it will function without disruptions, delays, or imperfections. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HELMI DISCLAIMS ALL OTHER WARRANTIES AND CONDITIONS, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL HELMI BE LIABLE TO YOU FOR ANY LOST PROFITS OR REVENUES (WHETHER DIRECT OR INDIRECT), OR FOR ANY CONSEQUENTIAL, SPECIAL, INDIRECT, EXEMPLARY, PUNITIVE, OR INCIDENTAL DAMAGES RELATING TO THESE TERMS OR THE SERVICE, EVEN IF HELMI HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HELMI'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID HELMI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

14. Suspension and Termination

We may temporarily suspend your access to the Service with or without notice if you (a) breach Section 8 (Restrictions and Acceptable Use), or (b) use the Service in a way that materially and negatively impacts the Service or other users. We will try to inform you before suspending your account when practical.

We reserve the right to terminate your account if you materially violate these Terms. You may also cancel your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. Upon your request, we will delete your User Content within 60 days. We may retain certain information as required by applicable law or for legitimate business purposes.

15. How We Access Your Data

We treat your data with respect and limit access to it. Helmi personnel may access your User Content only in the following circumstances:

To provide support. If you contact us for help, we may need to access your account to assist you, but only with your consent.
To maintain the Service. We may need to access data to fix errors in automated processes, safeguard the Service, or resolve technical issues, using the minimum access necessary.
To comply with the law. We may disclose your data if required by a legally binding government order or as otherwise required by applicable law.

16. Modifications to the Service

We reserve the right to modify, update, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes when practical. If we make pricing changes, we will give at least 30 days' notice before they take effect for existing users.

17. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

18. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify affected users via email or through the Service and update the "Last updated" date at the top of this page. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and you consent to the jurisdiction of those courts.

20. General Terms

Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Helmi regarding the Service and supersede all prior agreements about its subject.

Severability. If any provision of these Terms is found to be unenforceable or invalid by a court, that provision will be limited to the minimum extent necessary so that these Terms otherwise remain in full force and effect.

Assignment. You may not assign or transfer these Terms without our prior written consent. Helmi may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.

No third-party beneficiaries. These Terms do not create any third-party beneficiary rights.

Independent contractors. The parties are independent contractors. Nothing in these Terms creates an agency, partnership, or joint venture.
